These Terms and Conditions ("Terms") govern your access to and use of the Fondz website, mobile applications, and related services (collectively, the "Platform"), operated by Fondz ("Fondz", "we", "us", or "our"). Fondz is a multi-vendor online marketplace that enables independent third-party sellers ("Vendors" or "Merchants") to list and sell products and services to buyers ("Customers" or "you") in Nigeria and, where applicable, internationally.
By accessing, browsing, registering on, or placing an order through the Platform, you agree to be bound by these Terms, our Privacy Policy, and any additional guidelines, policies, or rules referenced herein. If you do not agree with any part of these Terms, you must not use the Platform.
To register an account or place an Order on Fondz, you must be at least 18 years of age and capable of entering into legally binding contracts under the laws of the Federal Republic of Nigeria. By creating an account, you represent and warrant that the information you provide (including your name, email address, phone number, and delivery address) is accurate, current, and complete, and you agree to update it promptly if it changes.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, whether or not authorized by you. You must notify us immediately of any unauthorized use of your account or any other breach of security. Fondz reserves the right to suspend, restrict, or terminate any account that provides false, misleading, or fraudulent information, or that we reasonably believe is being used in violation of these Terms.
Fondz is a marketplace facilitator. We provide the technology, infrastructure, and tools that allow independent Vendors to list, market, and sell Products directly to Customers. Fondz is not the manufacturer, seller, or owner of the Products listed by Vendors, except where a Product is expressly identified as sold directly by Fondz.
Each sale transaction on the Platform constitutes a separate contract of sale between the Customer and the relevant Vendor. Fondz is not a party to that contract and does not guarantee the quality, safety, legality, accuracy of description, or fitness for purpose of any Product listed by a Vendor. Vendors are solely and independently responsible for the Products they list, the accuracy of their listings, fulfilment of Orders, and compliance with all applicable laws.
Where Fondz facilitates payment collection or escrow services on behalf of Vendors, this is done strictly as a payment facilitation service and does not make Fondz a guarantor of any Vendor's performance, except as expressly stated in a separate written agreement.

Fondz reserves the right to review, suspend, delist, or remove any Vendor storefront or listing that violates these Terms, applicable law, or that we reasonably believe poses a risk to Customers or to the integrity of the Platform.
The following are strictly prohibited from being listed or sold on Fondz, without exception: firearms, ammunition, explosives, and weapons of any kind; illegal drugs and controlled substances; counterfeit, pirated, or unauthorized replica goods; stolen goods; items that infringe the intellectual property rights of any third party; human organs, blood products, or endangered species and their derivatives; unregistered or unapproved pharmaceuticals, medical devices, or cosmetics requiring NAFDAC approval; pornographic or obscene material; and any product or service whose sale is prohibited under Nigerian law.
Fondz reserves the right to remove any listing, without notice, that it reasonably believes violates this section, and to report suspected illegal activity to the appropriate law enforcement or regulatory authorities.
All prices displayed on the Platform are listed in Nigerian Naira (₦) unless otherwise stated, and are set independently by each Vendor. Prices, availability, and Product specifications may change at any time without prior notice and do not constitute a binding offer until an Order is accepted.
Platform Service Fee. In addition to the price of the Product(s), each Order may be subject to a Platform Service and Processing Fee charged by Fondz to cover payment processing, fraud prevention, platform operations, and related transaction costs. Unless otherwise stated at checkout, this fee is 5% of the total Order value, capped at a maximum of ₦10,000 per Order. The applicable fee, if any, will be clearly displayed to the Customer before the Order is confirmed and payment is completed. By placing an Order, you acknowledge and agree to pay the applicable Platform Service and Processing Fee.
By placing an Order, you are making an offer to purchase the selected Product(s) at the displayed price. A contract of sale is formed only when the Vendor accepts (or is deemed to accept) your Order, typically upon confirmation of payment. Fondz reserves the right to cancel or refuse any Order, including after payment, in cases of suspected fraud, pricing or listing errors, or unavailability of stock — in which case any payment made will be refunded in accordance with our refund process.
Payments on the Platform are processed through licensed third-party payment service providers regulated by the Central Bank of Nigeria (CBN). Fondz does not store your card or bank account details. You are responsible for ensuring you have sufficient funds and for any charges levied by your bank or payment provider.
Delivery of Products is arranged either by the Vendor directly or through a logistics partner integrated with the Platform. Estimated delivery times displayed on the Platform are approximate and not guaranteed. Risk of loss and title to a Product passes to the Customer upon delivery to the address provided at checkout.
You are responsible for providing an accurate and accessible delivery address and for being reasonably available to receive the Order. Fondz and its logistics partners are not liable for delays caused by incorrect address information, force majeure events (see Section 16), or factors outside their reasonable control, including traffic, weather, or regional security conditions.
Any claim for a lost, damaged, or significantly delayed shipment must be reported through the Platform within a reasonable time of the expected delivery date so that we can investigate with the relevant Vendor or logistics partner.
Return and refund eligibility may vary by Vendor and Product category, and the specific policy applicable to a Product will be displayed on its listing page or storefront. Where no Vendor-specific policy is stated, the following baseline applies:
Fondz facilitates the resolution of return and refund requests between Customers and Vendors but is not the guarantor of any refund except where a Product was sold directly by Fondz or where required by applicable consumer protection law.
By using the Platform, you agree not to: provide false information when placing an Order; abuse the returns process through fraudulent claims; harass, threaten, or abuse Vendors, delivery agents, or Fondz staff; attempt to circumvent the Platform to transact directly with a Vendor in a manner that bypasses Fondz's fees or protections after being introduced through the Platform, where prohibited by a separate Vendor agreement; or use the Platform for any unlawful purpose.
Customers who have completed a purchase may leave reviews and ratings for Products and Vendors. Reviews must be honest, based on genuine experience, and must not contain defamatory, obscene, or unlawful content. Fondz reserves the right to remove any review or content that violates this section or that we reasonably believe to be fraudulent, incentivized in violation of our policies, or unlawful.
By submitting any content to the Platform (including reviews, photos, or comments), you grant Fondz a non-exclusive, royalty-free, worldwide license to use, reproduce, and display that content in connection with operating and promoting the Platform.
The Fondz name, logo, and all platform branding, software, design elements, and content created by Fondz are the exclusive property of Fondz and are protected under Nigerian and international intellectual property law. You may not copy, reproduce, modify, distribute, or create derivative works from any part of the Platform without our prior written consent.
Vendors retain ownership of their own brand names, logos, product images, and descriptions, but by listing a Product, grant Fondz a non-exclusive, royalty-free license to display, reproduce, and use that content for the purpose of operating, marketing, and promoting the Platform and the Vendor's listings. Vendors warrant that they hold all necessary rights to the content they upload and agree to indemnify Fondz against any third-party claim arising from infringement of those rights.
Fondz collects and processes personal data in accordance with our Privacy Policy and the Nigeria Data Protection Act, 2023 (NDPA), and applicable regulations issued by the Nigeria Data Protection Commission (NDPC). By using the Platform, you consent to the collection, use, storage, and, where necessary, sharing of your personal data with Vendors, logistics partners, and payment processors solely for the purpose of fulfilling your Orders and operating the Platform.
You have the right to request access to, correction of, or deletion of your personal data, subject to our legal and operational retention requirements, by contacting us through the channels in Section 19.
Fondz reserves the right to suspend or terminate any Customer or Vendor account, restrict access to the Platform, cancel pending Orders, or remove listed content at any time, with or without notice, where we reasonably believe there has been a breach of these Terms, applicable law, or conduct that harms the integrity of the Platform, other users, or Fondz itself.
You may close your account at any time by contacting us; closure does not affect obligations already incurred (such as payment for an Order already placed) prior to closure.
THE PLATFORM AND ALL CONTENT, PRODUCTS, AND SERVICES MADE AVAILABLE THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, EXCEPT WHERE SUCH WARRANTIES CANNOT BE EXCLUDED UNDER NIGERIAN LAW. Fondz does not warrant that the Platform will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.
Fondz makes no representation as to the quality, safety, legality, or fitness for purpose of any Product listed by a Vendor. Any dispute regarding the condition or performance of a Product purchased through the Platform should, in the first instance, be directed at the relevant Vendor.
TO THE FULLEST EXTENT PERMITTED BY THE LAWS OF THE FEDERAL REPUBLIC OF NIGERIA, FONDZ, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES — INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION — ARISING FROM OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE PLATFORM, OR ANY PRODUCT OR SERVICE OBTAINED THROUGH IT, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF FONDZ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Where Fondz's liability cannot be excluded under applicable law, our aggregate liability to you for any claim arising from these Terms or your use of the Platform shall not exceed the total amount you paid to Fondz (where applicable, such as platform fees) in the six (6) months preceding the event giving rise to the claim. This limitation does not apply to liability for fraud, wilful misconduct, or death or personal injury caused by our negligence, to the extent such liability cannot be excluded by law.
Fondz shall not be liable for any failure or delay in performance under these Terms resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, civil unrest, strikes, government action, internet or telecommunications failures, power outages, pandemics, or restrictions on movement or commerce imposed by any governmental authority.
You agree to indemnify and hold harmless Fondz, its directors, officers, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to: your breach of these Terms; your violation of any applicable law; your infringement of any third-party right; or, in the case of Vendors, any Product you list or sell on the Platform.
Disputes between a Customer and a Vendor regarding a specific Order should first be raised through the Platform's dispute resolution or customer support process, which Fondz will facilitate in good faith but without acting as an arbitrator with binding authority, except where Fondz has expressly agreed to act in that capacity for a specific transaction.
Any dispute between you and Fondz arising out of or relating to these Terms shall first be addressed through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, either party may refer the matter to arbitration in Abuja FCT, Nigeria, in accordance with the Arbitration and Mediation Act 2023, or to the courts of competent jurisdiction as set out in Section 20, at Fondz's election.
Fondz may revise these Terms from time to time to reflect changes in our services, legal or regulatory requirements, or operational practices. Where changes are material, we will provide reasonable notice, such as a notification on the Platform or via email, before the changes take effect. Your continued use of the Platform after such changes take effect constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Subject to Section 18 above, the courts of Abuja FCT, Nigeria shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter.
If any provision of these Terms is found by a court or tribunal of competent jurisdiction to be invalid or unenforceable, that provision shall be deemed severed, and the remaining provisions shall continue in full force and effect. These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Fondz regarding your use of the Platform, superseding any prior agreements or understandings.
